These terms govern access to and use of the Diagna website and its publicly available content.
Effective October 12, 20261. Acceptance of these terms
These Terms of Use ("Terms") are an agreement between you and Diagna Healthcare Technologies, Inc. By accessing or using this website, you agree to these Terms. If you use the website on behalf of an organization, you represent that you have authority to bind that organization.
2. Website scope
The website provides general information about Diagna and its products, resources, and services. These Terms apply to the public website. Use of Diagna's software or services is governed by the applicable order form, customer agreement, Business Associate Agreement, or other written agreement.
3. No medical, legal, or compliance advice
The website and its resources are provided for general informational purposes only. They are not medical advice, legal advice, a diagnosis, a treatment recommendation, or a substitute for professional judgment. Healthcare and compliance requirements depend on the facts and applicable law. You are responsible for obtaining appropriate professional advice.
4. Permitted use
You may use the website for lawful business and informational purposes. You may not interfere with the website, attempt unauthorized access, introduce malicious code, scrape or harvest data through unreasonable automated means, impersonate another person, violate another party's rights, or use the website in violation of law.
5. Intellectual property
The website, its design, software, text, graphics, trademarks, and other content are owned by or licensed to Diagna and are protected by applicable intellectual property laws. Subject to these Terms, Diagna grants you a limited, revocable, non-exclusive, non-transferable right to access and use the website for its intended purpose. No other rights are granted.
6. Submissions and feedback
You are responsible for information you submit through the website and must have the right to provide it. Do not submit protected health information or patient information through the demo form. If you voluntarily provide suggestions or feedback, Diagna may use them without restriction or obligation to you.
7. Third-party services and links
The website may link to or embed third-party services, including scheduling and form-processing providers. Diagna does not control and is not responsible for third-party content, availability, terms, or privacy practices. Your use of those services may be subject to separate terms.
8. Security and compliance information
Information about Diagna's security and compliance program is available through the Diagna Trust Center. Trust Center materials are informational and do not replace commitments in a signed customer agreement or Business Associate Agreement.
9. Disclaimer of warranties
To the fullest extent permitted by law, the website and its content are provided "as is" and "as available." Diagna disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation.
10. Limitation of liability
To the fullest extent permitted by law, Diagna and its officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business opportunities, arising from the website or these Terms. Diagna's total liability arising from the public website or these Terms will not exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
11. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Diagna and its officers, directors, employees, and agents from claims, damages, liabilities, and expenses arising from your unlawful use of the website, your violation of these Terms, or your infringement of another party's rights.
12. Governing law and venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from the public website or these Terms must be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction and venue.
13. Changes and termination
We may update these Terms by posting a revised version and changing the effective date. Continued use after an update constitutes acceptance of the revised Terms. We may suspend or terminate access to the website when reasonably necessary, including for misuse or legal compliance.
14. General terms
If a provision is found unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. These Terms are the entire agreement concerning the public website and supersede prior statements about that subject.
